This Terms of Use Agreement constitutes a legally binding agreement between you and Orostext, LLC., concerning your access to and use of the Oros Health Platform. 

Before utilizing Oros Services, carefully review these “Terms” of Use and the Oros Services description, collectively referred to as the “Agreement”. All users of the Oros Health Platform are obligated to review and abide by these Terms and Conditions. Your access or use of the Oros Health Platform signifies agreement with these Terms and Conditions. If you disagree with any part of this Agreement, refrain from accessing or using the Oros Health Platform, as it directly impacts your rights and liability.

The terms “you” and “your” when used in this Agreement refer to any registered user accepting this Agreement as an individual or the legal entity that they represent. If you enter into this Agreement on behalf of a legal entity, you warrant that you are an authorized representative with the authority to bind that legal entity to this Agreement.

The terms “Company”, “Oros”, “we”, “us” or “our” when used in this Agreement refer to Orostext, LLC; a limited liability company formed under the laws [ ]

The Oros Health Mobile Application (the “Mobile Application”) and the Oros Health Platform (collectively, the “Platform”) are owned and operated by Oros located at ( ).

The Oros Health Mobile Application (“Mobile Application”), the Oros Health Platform (“Platform”) and the Oros Health website are collectively owned and operated by Oros, located at [ ].

The following are the Terms and Conditions for accessing and using the Oros Health Platform:

ACCESSING AND SUSTAINING USE OF SERVICES

  1. The Oros Health Platform is for personal use in education and research only.
  2. The Platform is exclusively designed for individuals aged 18 and above. To use and access our services, you must have reached the age of majority in your jurisdiction. The Application reserves the right to terminate your account if you breach this condition or if legal restrictions prohibit your access to our services.
  3. Oros Health is not designed for use in any of the following instances:
    • In case of a medical emergency.
    • If you are contemplating suicide, self-harm, or harm to others.
    • If you or someone you know may be in danger.
    There are notable distinctions between the Oros Health Platform and traditional telephone, mobile, and SMS services. Our services do not grant access to emergency services or providers, including the police, fire departments, hospitals, or other services related to public safety. In the event of any danger, it is imperative to immediately call your local emergency services number and inform the relevant authorities.
  4. You may have to meet certain conditions or requirements, such as completing a verification process and meeting specific quality or eligibility criteria based on your communication history with Oros to access and use the Oros Health Platform or certain features of the Platform.
  5. We serve as an intermediary facilitating online interaction among users for creating, uploading, sharing, modifying, and accessing information. Users are considered independent third parties, and their relationship with Oros is strictly that of individual users, not as employees, partners, or representatives. Users exclusively act on their behalf for personal benefit and not on behalf of Oros.
  6. The company is dedicated to ensuring the optimal performance of the application and reserves the right to conduct maintenance at any time for this purpose. In the event of such maintenance causing a reasonable service interruption, the company assumes no liability to users or third parties. The company will make best-effort attempts to inform users of any scheduled maintenance in advance.
  7. You must use certain devices, software and data connections that Oros does not provide to access and use the Oros Services. For as long as you use our Services, you consent to downloading and installing updates to our Services, even automatically. Oros is not responsible or liable, directly or indirectly, for any download, installation, transmission, interruption, delay or failure of the Oros Services or the Oros Health Platform, or any third-party content, services or advertisements due date, connectivity, or internet issues due to such devices, software and data connections. Oros is also not responsible or liable, directly or indirectly, for any data charges or service charges associated with such devices, software and data connections that are used to access and use the Oros Health Platform.
  8. You are accountable for how you use our services and must adhere to relevant laws, as well as comply with our Terms, Privacy Policy, and Community Guidelines.
  9. You can use our services at no cost or in any other way specified by the company and communicated to you periodically.
  10. You are accountable for securing your account, and you commit not to share your password with any third party. You acknowledge that you are solely responsible for any activities or actions carried out under your account, username, or password, regardless of whether you authorized them. If you become aware of any unauthorized use of your password or account, you agree to promptly inform the Company.
  11. The Company also has the authority to limit the dissemination of any content that breaches the App’s Community Guidelines. In case of such violations, the Company may suspend or terminate your account. Additional details on content moderation can be found in our other policies.
  12. We retain the right to update, modify, or amend these Terms at any time, at our sole discretion.
  13. The services provided to you are legally protected by copyright, trademark, and other laws. These Terms do not grant you the authority to utilize our trademarks, logos, domain names, distinctive brand features, or other proprietary rights. The Company and its licensors exclusively own all rights, title, and interest in the services, including usernames or handle names (excluding user-provided content).

THE SERVICES

  1. The services offered by Oros’s website, apps, features and software collectively comprise Oros’s Services (the Services).
  2. Oros provides an online platform for direct and group messaging, primarily focused on mental well-being services.
  3. Registered Users can connect and communicate with each other on the Oros Health Platform, but Oros is not involved in their relationships.
  4. Oros is not affiliated with or endorsing any Registered User or third party mentioned on the platform.
  5. Oros, as the provider, does not act as an agent for any Registered User or third party on the platform.
  6. Oros has no control over the quality, safety, or accuracy of messages on the platform and does not screen communications.
  7. The platform may contain links to third-party websites with different terms and conditions, and Oros is not responsible for their content or services.
  8. Therapists on the Oros Health Platform must be licensed and experienced; they are independent third-party service providers, not employed by Oros.
  9. Oros Health is not intended to provide clinical diagnoses or information about suitable drugs or medical treatments.
  10. Oros does not provide medical advice or services, and any medical advice offered on the platform is at the user’s own risk.
  11. Users should not disregard in-person care from qualified mental health professionals based on information or advice received on the platform.
  12. Users must recognize that Oros Health may not be suitable for all mental health needs and is not a substitute for in-person therapy services and medication.

OROS ACCOUNT AND REGISTRATION

  1. You must register an Oros Account to access and use certain features of the Oros Health Platform. If you are registering an Oros Account for a company or a legal entity, you must warrant that you have the authority to grant us all permissions and licenses that are mentioned in this Agreement.
  2. You can register an Oros Account by providing your email address and creating a password or by using your account with certain third-party social networking services, such as Facebook or Google (SNS Account). While creating an account, it is essential to use unique and original credentials that do not violate any applicable laws or third-party rights. You have the option to disable the link between your Oros Account and your SNS Account through your Oros Account Settings if you choose to do so at any time in the future. 
  3. During registration, additional details may be requested, such as location, hobbies, interests, and personal preferences.
  4. You must provide accurate, current and complete information during the Oros Account registration process and keep your Oros Account information up-to-date at all times.
  5. Registering more than one Oros Account is not permitted unless specifically authorized by Oros. Additionally, it is prohibited to assign or transfer your Oros Account details to any other party. Buying, selling, or exchanging accounts for monetary gain, in-kind transactions, or any other form of value, whether for compensation or without any value exchange, is strictly prohibited.
  6. You are responsible for maintaining the confidentiality and security of your Oros Account credentials. Do not disclose these credentials to any third party. Promptly notify Oros if you suspect or have knowledge of any loss, theft, misappropriation, compromise, or unauthorized use of your Oros Account credentials. You bear liability for all activities conducted through your Oros Account unless such activities are unauthorized and not due to your negligence, such as failing to report unauthorized use or loss of credentials.
  7. Oros does not take responsibility for confirming the identity of Registered Users due to the challenges of online verification.
  8. We retain the authority to suspend, terminate, or remove any account or take other actions at our discretion, with or without notice, in the event of a breach of these Terms. If you have concerns about an action taken on your account, you may write to us.
  9. Usernames should refrain from including languages or messages that are derogatory, demeaning, or misleading.

OROS CONTENT AND COLLECTIVE CONTENT

  1. Oros may, at its sole discretion, enable Registered Users to:
    • Create, upload, post and send content, such as text, images, audio, video or other content through the Oros Health Platform (Registered User Content) and access, view and store Registered User Content and any content that Oros itself makes available on or through the Oros Health Platform, including proprietary Oros Content and any content licensed or authorized for use by or through Oros from a third party. 
    • Oros Content along with the Registered User Content are collectively called the “Collective Content” .We are not responsible for any Registered User Content on the Oros Health Platform. Registered User Content is uploaded by Registered Users at their own risk. Registered Users must ensure that their posts, messages and chats comply with the terms and conditions of this Agreement. 
  2. You are solely responsible for all Registered User Content that you make available on or through the Oros Health Platform. Accordingly, you warrant that:
    • You either are the sole and exclusive owner of all Registered Content that you make available on or through the Oros Health Platform or you have all rights, licenses, consents and releases required to grant to Oros the rights to such Registered User Content, as mentioned in this Agreement.
    • Neither your posting, uploading, publication, submission or transmittal of the Registered User Content nor Oros’s use of such Registered User Content will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights, proprietary rights, intellectual property rights, rights of publicity or privacy, or result in the violation of any applicable law or regulation.
  3. You will not post, upload, publish, submit or transmit any Registered User Content that:
    • Is fraudulent, false, misleading or deceptive (directly or by omission or failure to update information)
    • Is defamatory, offensive, obscene, vulgar or pornographic
    • Promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group of individuals
    • Is violent, threatening, promotes violence or actions that are threatening to any other person
    • Promotes illegal or harmful activities or substances 
    • Violates any Oros Policy Oros may, without prior notice, remove or disable access to any Registered User Content that Oros finds to violate the community guidelines or Oros’s then-current policies or standards, or otherwise may be objectionable to Oros, its Registered Users and third parties.
  4. You acknowledge that Oros has no obligation to monitor the access to or use of the Oros Health Platform by any Registered User or to review, disable access to, or edit any Registered User Content, but has the right to do so to:
    • Operate, secure and improve the Oros Health Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes).
    • Ensure Registered Users’ compliance with our Terms and Conditions.
    • Comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or government body.
    • Respond to Registered User Content that it determines is harmful or objectionable.

CUSTOMER LICENSE GRANT

By creating, uploading, posting, sending or making available any Registered User Content on or through the Oros Health Platform, you grant Oros a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to access, use, store, modify, and distribute their created content to provide and promote the platform. Additionally, Oros is granted a similar license for marketing, advertising, research, and development purposes, including sharing content with third parties as outlined in the Privacy Policy. However, Oros does not claim ownership rights to user-generated content beyond the specified permissions, and users retain the rights to use and exploit their own content. The agreement does not limit users’ rights regarding their Registered User Content.

INTELLECTUAL PROPERTY RIGHTS 

The Oros Health Platform, Oros Content, and Registered User Content are protected by copyright, trademark, and other laws. They are exclusive property owned by Oros or its licensors. Users must not alter or remove any copyright, trademark, or proprietary rights notices. Oros trademarks used on the platform are the property of Oros. Third-party trademarks are used for identification only. Users are prohibited from exploiting the platform, content, or trademarks without proper ownership or permission. Oros grants a limited, non-exclusive license for personal and non-commercial use, subject to compliance with the Agreement.

PROHIBITED ACTIVITIES

You are solely responsible for your compliance with any laws, rules, regulations, and tax obligations that may apply to your use of the Oros Health Platform. In connection with your use of the Oros Health Platform, you will not do the following or assist or enable others to do the following:

  • Breach or circumvent any applicable laws or regulations, agreements with third parties, third-party rights, or our Terms, policies, or standards.
  • Use the Oros Health Platform or Collective Content for any commercial or other purposes that are not expressly permitted by this Agreement or in a manner that falsely implies Oros endorsement, partnership or otherwise misleads others into thinking that you are affiliated with Oros. 
  • Directly or indirectly imply Oros’s approval, recommendation, or association with any medical advice, suggestion, or referral that you may discuss on the Oros Health Platform.
  • Copy, store or otherwise access or use any information, including personally identifiable information about any other Registered User, contained on the Oros Health Platform in any way that is inconsistent with Oros’s Privacy Policy or Oros’s Terms And Conditions or that otherwise violates the privacy rights of Registered Users or third parties.
  • Use the Oros Health Platform in connection with the distribution of unsolicited commercial messages (spam).
  • Contact another Registered User for any purpose relating to recruiting or otherwise soliciting any Registered User to join third-party services, applications or websites, without our prior written approval.
  • Discriminate against or harass anyone based on race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age, sexual orientation, or otherwise engage in any abusive or disruptive behavior.
  • Use, display, mirror, frame, reproduce, alter, or copy the Oros Health Platform or Collective Content, or any individual element within the Oros Health Platform, Oros’s name, any Oros trademark, logo, copyrighted material, or other proprietary information, or the layout and design of any page or form contained on a page on the Oros Health Platform, without Oros’s written consent to do so.
  • Dilute, tarnish or otherwise harm the Oros brand in any way, including through unauthorized use of Collective Content, registering and/ or using Oros or derivative terms in domain names, trade names, trademarks, copyrighted material, or other source identifiers, or registering and/ or using domain names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Oros domains, trademarks, taglines, promotional campaigns, or Collective Content. 
  • Use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from the Oros Health Platform or otherwise interact with the Oros Health Platform for any purpose.
  • Avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Oros or any of Oros’s providers or any other third party to protect the Oros Health Platform.
  • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Oros Health Platform. 
  • Take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Oros Health Platform. 
  • Export, re-export, import, or transfer the Oros Health Platform except as authorized by United States law, the export control laws of your jurisdiction, and any other applicable laws.
  • Violate or infringe anyone else’s rights or otherwise cause harm to anyone, including but not limited to providing medical advice or suggestions that will cause them further harm or trauma.

Registered Users agree to cooperate with and assist Oros in good faith, and to provide Oros with such information and take such actions as may be reasonably requested by Oros concerning any investigation undertaken by Oros or a representative of Oros regarding the use or abuse of the Oros Health Platform. 

If you feel that any Registered User that you have interacted with, whether online or in person, is acting or has acted inappropriately, including but not limited to anyone who:

  • Engages in offensive, violent or sexually inappropriate behavior,
  • You suspect of stealing from you,
  • Engages in any other disturbing conduct.

You should immediately report such a person to the relevant authorities and then to Oros by contacting us with your police station and report number, provided that your report will not obligate us to take any action beyond that which is required by law or cause us to incur any liability to you.

TERM AND TERMINATION 

Without limiting our rights specified below, Oros may terminate the Terms of this Agreement and your access to or use of the Oros Health Platform for convenience at any time and for any reason, including the following:

  • Your material breach of your obligations specified in this Agreement.
  • Your violation of applicable laws, regulations, or third-party rights.
  • If Oros believes that such action is reasonably necessary to protect the personal safety or property of Oros, its Registered Users, or third parties (for example, in the case of fraudulent behavior by a Registered User).

In addition, Oros may take reasonable measures:

  • To comply with applicable law or the order or request of a court, law enforcement, or other administrative agency or government body.
  • If you have breached the Terms and Conditions of this Agreement, applicable laws, regulations, or third-party rights.
  • If you have provided inaccurate, fraudulent, outdated, or incomplete information during the Oros Account registration process or thereafter.
  • If Oros becomes aware of or has received complaints about your performance or conduct.
  • If Oros believes that such action is reasonably necessary to protect the safety or property of Oros, its Registered Users, or third parties, or to prevent fraud or other illegal activity.

Oros may take the following measures in the aforementioned cases:

  • Refuse to surface, delete, or delay any Registered User Content.
  • Limit your access to and use of the Oros Health Platform.
  • Temporarily or permanently revoke any special status associated with your Oros Account.
  • Temporarily or permanently suspend or disable your Oros Account.

When the terms of this Agreement and your access to or use of the Oros Services have been terminated, you are not entitled to a restoration of your Oros Account or any of your Registered User Content. If your access to or use of the Oros Health Platform has been limited or your Oros Account has been suspended or terminated by us, you may not register a new Oros Account or access and use the Oros Health Platform through the Oros Account of another Registered User.

LIMITATION OF LIABILITY 

Oros will not be liable to you for any lost profits or consequential, special, punitive, indirect, or incidental damages relating to, arising out of, or in any way connected to our Terms and Conditions, us, or our Services, even if Oros has been advised of the possibility of such damages. Our aggregate liability relating to, arising out of, or in any way connected to our Terms and Conditions, us, or our Services will not exceed the sum of one hundred dollars or the amount that you have paid us in the past twelve months. The foregoing disclaimer of certain damages and limitation of liability will apply to the maximum extent permitted by applicable law. The laws of some states or jurisdictions may not allow the exclusion or limitation of certain damages and so, some or all of the exclusions and limitations set forth above may not apply to you. Notwithstanding anything to the contrary in our Terms and Conditions, in such cases, the liability of Oros will be limited to the fullest extent permitted by applicable law.

INDEMNIFICATION

You agree to release, defend (at Oros’s option), indemnify, and hold Oros and its affiliates and subsidiaries, and their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  • Violation of Terms of Service, laws, contracts, policies, or obligations grants Oros the right to assume exclusive defense and control, requiring user cooperation.
  • Improper use of Oros Health Platform or any Oros Services.
  • User interactions with Registered Users, with Oros disclaiming responsibility for any resulting injuries, losses, or damages.
  • User responsibility for breaches of laws, regulations, or third-party rights.

GENERAL PROVISIONS:  

Governing Law

This Agreement will be governed by and interpreted by the laws of your country, provided that the Application is available and operated under a locally registered legal entity in your country, without considering the conflict of laws provisions. Any claims, differences, or disputes related to the Application, Services, Terms, or transactions conducted through the Application or Services will be exclusively subject to the jurisdiction of the courts in ( ). You hereby acknowledge and agree to submit to the jurisdiction of these courts in such matters.

Restriction on Assignability or Transfer

This Agreement solely grants rights and remedies to Oros, not to any third party. You cannot assign or transfer these Terms without Oros’s written consent. Oros, however, can assign or transfer these Terms at its discretion with 30 days’ notice. You retain the right to terminate these Terms by discontinuing the use of the Oros Services and Health Platform at any time.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Waivers

Oros retains the right to enforce any provision in the Terms, and failure to do so does not constitute a waiver unless expressly acknowledged in writing. The exercise of remedies by either party is without prejudice to other remedies permitted by law or outlined in the Terms, except as expressly stated in the agreement.

Notices

Unless specified otherwise, any notices or other communications to Registered Users permitted or required under these Terms, will be in writing and given by Oros via email, Oros Health Platform notification, or messaging service.

MODIFICATION OF THE TERMS AND CONDITIONS

The Terms of Service may be modified periodically. We reserve the right to assign or transfer our agreement, along with associated rights and obligations, at any time, and you agree to cooperate with us during such processes. We advise you to regularly review this page for updated terms. Your ongoing use of the Services will be considered an acceptance of all revised terms.

NO HIGH-RISK USE

You shall not use the Services for or in connection with any high-risk environment. You further agree not to use the Services or Mobile Application in an unsafe manner, including while driving, walking, or otherwise without your full attention such that risk to you, your end users, or others may arise or result. 

NO WARRANTIES

You agree that the Oros Services and Oros Software are provided ‘as is,’ and Oros, its affiliates, suppliers, and licensors expressly disclaim all warranties of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Oros, its affiliates, suppliers, and licensors make no guarantee, promise, warranty, or representation:

  • Regarding the results that may be obtained from the use of the Services or the Mobile Application,
  • Regarding the accuracy or reliability of any information obtained through the Services,
  • That the Services or the Mobile Application will meet any user’s requirements, or
  • That the Services will be uninterrupted, timely, secure, or error-free.

Any material or data downloaded or otherwise obtained through the use of the Services or the Mobile Application is at your own discretion and risk. You will be solely responsible for any damage to you resulting from the use of the Services or the Mobile Application. The entire risk arising out of the use or performance of the Services or the Mobile Application remains with you. Oros does not assume any responsibility for the retention of any data, including Registered User Content, Registered User information, or communication between Registered Users. Use of the Services and the Mobile Application is at your sole risk.

PRIVACY POLICY

Protecting any information that you provide through our Platform is extremely important to us. Information about our security and privacy practices can be found on our Privacy Policy available at: (Privacy Policy). 

By agreeing to Oros’s Terms and Conditions, you are also agreeing to the Terms of Oros’s Privacy Policy.

By accessing or using the Oros Health Platform, you are agreeing to the Terms and Conditions of this Agreement. You must not use the Oros Health Platform if you do not agree to any of the Terms and Conditions in this Agreement.

GRIEVANCE REDRESSAL PROCEDURE

For any issues related to content, comments, or violations of this Agreement or Community Guidelines, users should contact the designated Grievance Officer mentioned below. Users have the right to appeal any action on their complaint or content to the Grievance Officer. The Grievance Officer aims to resolve these matters promptly, aiming for a resolution within 48 hours.
